Contest begins on August 13, 2007 at 12:00 AM (EDT) and ends on October 17, 2007 at 11:59 PM (EDT) (the “Contest Period”) and is sponsored by Kenneth Cole Productions, Inc., 603 W. 50th St., New York, NY 10019 (the “Sponsor”).

Eligibility: The Contest is only open to individuals who, at the time of entry deadline, are: (1) legal residents of the United States, and (ii) 18 years or older. Corporations and other organizations are not eligible. Employees, officers, directors, agents, representatives, licensees and vendors of Sponsor, their subsidiaries, affiliates and advertising agencies, and their immediate families (spouse, domestic partners, parents, children, siblings and their spouses/domestic partners) and individuals residing in the same household as such individuals are ineligible. The Contest is subject to all federal, state and local laws and regulations and is void outside the 50 United States and the District of Columbia and where prohibited by law.

Entry: To enter, simply click on the “WIN A KIDS OUTFIT” banner at www.blogher.org and provide a substantive answer of one complete sentence or more in response to a question about Kenneth Cole Reaction apparel for kids. All requested information must be provided or the entry will be void. Entries containing sexual or suggestive content, referring to illegal conduct, or containing content that is otherwise deemed by the Sponsor to be inappropriate will not be accepted. Entries containing such content will be disqualified immediately. One entry per person/per e-mail address. Participation constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules. All entries must be submitted by October 17, 2007 at 11:59 PM (EDT) to be considered. Failure to comply with the Official Rules will result in disqualification. Entries become the property of Sponsor and will not be returned or acknowledged. One entry per person and per e-mail address. Sponsor is not responsible for printing or typographical errors in any Contest-related materials, or lost, late, misdirected, incomplete or ineligible entries.

Winner Selection/Prizes: On or about November 14, 2007, a panel of judges composed of Sponsor’s marketing specialists will judge all entries on the basis of creativity, originality and interest. All decisions of the judges are final. In the event of identical submissions, an earlier submitted entry will be ranked higher on the basis of expediency. Five winners selected by the judges will each be awarded one boys’ KENNETH COLE REACTION outfit (infants’ sizes 6-9M, 12M, 18M, or 24M and boys’ sizes 2 to 7 only) and one pair of KENNETH COLE REACTION boys’ shoes (infants’ (ages 6 to 24 months) sizes 2 to 7 or toddlers’ (age 2 to7) sizes 8 to 2 only), the styles of which will be determined by the Sponsor in its sole discretion, valued at approximately $120.00 (USD). Prizes are not redeemable for cash or transferable. All prizes will be awarded and are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Sponsor reserves the right to substitute a prize of equal or greater value. Disqualification and the selection of alternate winner(s) by Sponsor will result from: (1) failure of a potential winner to execute, notarize and return an Affidavit of Eligibility/Prize Acceptance/Liability and Publicity Release (where legal) within fourteen (14) days from notification; (2) the return of a notification or prize as undeliverable; or (3) any other non-compliance with these Official Rules. All taxes and any other fees and costs associated with the prizes are the sole responsibility of the winners. Winners will be posted on www.blogher.org beginning November 23, 2007. Liability: Neither Sponsor nor its retailers is responsible or liable for incorrect or inaccurate information, whether caused by a participant, equipment or programming utilized in the Contest or technical or human error in processing submissions. Sponsor and its retailers disclaim responsibility or liability for: (i) the accuracy, availability or timeliness of information published about the Contest; (ii) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or authorized access to, or alteration of entries; (iii) late, lost, delayed, damaged, misdirected, incomplete, illegible or unintelligible entries; (iv) any injuries, losses or damages of any kind caused by a prize or resulting from acceptance, possession, use or misuse of a prize, or from participation in the Contest; (v) printing or typographical errors in Contest materials; or (vi) problems or technical malfunctions of telephone networks or lines, computer online-systems, servers or providers, computer equipment, software, Internet congestion. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor may cancel, terminate, modify or suspend the Contest.

Release: By participating in the Contest, each participant releases and agrees to hold harmless Sponsor and its subsidiaries, affiliates, directors, officers, employees, retailers, resellers and agents from liability for claims, costs, injuries, losses or damages arising out of or in connection with the Contest or acceptance, possession or use of the prize (including, without limitation, related to personal injury, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort, warranty or other theory. Sponsor and its subsidiaries, affiliates, directors, officers, employees, retailers, resellers and agents expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery or use of the prize.

Conditions: Each participant agrees to be bound by these Official Rules and Sponsor’s judges’ decisions, which are final and binding in all respects. All entries become the exclusive property of Sponsor and will not be returned and Sponsor shall retain all rights to use, reproduce, publish, modify and distribute such entries. By accepting the prize, the winning participant automatically grants to Sponsor the unconditional right to use his/her name, address (city and state only), likeness, photograph and/or statements about the Contest for publicity and advertising purposes without further permission or financial compensation, except where prohibited by law. Sponsor shall not be obligated to use the winning entries in any advertising or in any other manner. Any portion of a prize not accepted by a winner will be forfeited. Sponsor reserves the right, at its sole discretion, to refuse entry or disqualify any individual it finds to be: tampering with the entry process or the operation of the Contest; acting in violation of these Official Rules; or acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or entity. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR OTHER PERSON TO UNDERMINE THE OPERATION OF THE CONTEST OR COMMIT ANY OTHER ACT OF FRAUD MAY VIOLATE FEDERAL AND STATE CRIMINAL AND CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY SUCH PARTICIPANT AND SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

General Terms: The decisions of Sponsor’s judges are final on all matters pertaining to the Contest. The Contest may not be used in connection with any form of gambling. All federal, state and local laws and regulations apply. This Contest shall be governed by, and construed in accordance with the laws of the State of New York without regard to its rules governing conflicts of law. All participants and their heirs and assigns, consent to the jurisdiction of the federal and state courts in New York County, New York for all legal proceedings relating to this Contest. Participants agree to use any materials or information procured as part of the Contest only for Contest purposes and not for any commercial purpose.

Game of Skill: The Contest is a game of skill. From all eligible entries received, the winners will be determined based on creativity, originality and interest.
